Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Dawnovation AI (“Dawnovation,” “we,” “us,” or “our”) governing your use of our website at dawnovation.ai and any services we provide.
By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our website or services.
For professional service engagements, these Terms are supplemented by a separate Statement of Work (SOW) or service agreement, which governs project-specific deliverables, timelines, and fees. In case of conflict, the SOW prevails.
Our Services
Dawnovation AI provides professional technology services including, but not limited to:
- Design and development of agentic AI workflows and multi-agent systems
- Retrieval-Augmented Generation (RAG) system architecture and implementation
- Intelligent process automation and self-healing pipeline development
- AI platform design, development, and deployment
- Integration of AI capabilities into existing client systems and infrastructure
- Custom large language model (LLM) fine-tuning and domain adaptation
- AI strategy consulting and architecture review
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected clients.
Acceptable Use
You agree to use our website and services only for lawful purposes and in a manner consistent with these Terms. You must not:
- Use our services to develop AI systems designed to deceive, harm, or discriminate against individuals or groups
- Deploy AI systems built by Dawnovation in violation of applicable laws, regulations, or ethical guidelines
- Use our services to generate, distribute, or facilitate illegal content, including but not limited to content that violates intellectual property rights, privacy laws, or anti-spam regulations
- Attempt to reverse-engineer, decompile, or extract Dawnovation’s proprietary methodologies, frameworks, or tools
- Misrepresent your identity, authority, or affiliation when engaging our services
- Use automated systems to scrape, crawl, or extract data from our website without written permission
We reserve the right to refuse or terminate service to any party found to be in violation of these acceptable use requirements.
Client Responsibilities
To enable us to deliver services effectively, you agree to:
- Timely Cooperation: Provide accurate information, data, feedback, and approvals within agreed timeframes. Delays caused by the client may affect project timelines and costs.
- Data Authorization: Ensure you have the legal right to share any data, documents, or content provided to Dawnovation for use in AI system development
- System Access: Grant necessary access to systems, APIs, or infrastructure required for integration work, maintaining appropriate security controls
- Responsible Deployment: Deploy and operate AI systems delivered by Dawnovation responsibly, in compliance with applicable laws and with appropriate human oversight
- Accurate Representation: Provide truthful information about your use case, industry, and any regulatory requirements relevant to your project
Intellectual Property
Client Deliverables
Upon receipt of full payment, Dawnovation assigns to the client all rights, title, and interest in custom-developed deliverables specifically created for the client under a project agreement. This includes custom code, AI model configurations, and documentation produced exclusively for the client’s project.
Dawnovation Proprietary Assets
Dawnovation retains all rights to its pre-existing intellectual property, including:
- Proprietary frameworks, libraries, and development tools
- Reusable code components, templates, and architectural patterns
- Methodologies, processes, and know-how developed independently of any client project
- Our website content, brand assets, and marketing materials
Where Dawnovation incorporates its proprietary assets into client deliverables, we grant the client a perpetual, non-exclusive, royalty-free license to use those components as part of the delivered system.
Third-Party Components
AI systems may incorporate open-source software, third-party APIs, or licensed models. Dawnovation will disclose material third-party dependencies and their applicable licenses. Client is responsible for compliance with third-party license terms in their deployment.
Website Content
All content on dawnovation.ai — including text, graphics, logos, and code — is the property of Dawnovation AI and is protected by applicable intellectual property laws. You may not reproduce or distribute any content without our prior written consent.
Confidentiality
Both parties agree to maintain the confidentiality of the other’s non-public, proprietary, or sensitive information disclosed in connection with services (“Confidential Information”).
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was independently developed without use of the disclosing party’s information; (c) was rightfully received from a third party without restriction; or (d) is required to be disclosed by law or court order.
Confidentiality obligations survive termination of our engagement for a period of three (3) years, or longer where required by applicable law or as agreed in a specific project agreement.
Payment Terms
Payment terms for professional services are established in the applicable project agreement or Statement of Work. General terms include:
- Invoicing: Invoices are issued per the schedule set out in the project agreement (e.g., milestone-based or monthly)
- Payment Due: Payment is due within 14 days of invoice date unless otherwise agreed in writing
- Late Payments: Overdue amounts may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower
- Suspended Services: We reserve the right to suspend active work on accounts with invoices more than 30 days overdue
- Expenses: Reasonable, pre-approved out-of-pocket expenses (e.g., cloud compute, third-party API costs) are billed at cost with supporting receipts
All fees are exclusive of applicable taxes. Client is responsible for any sales tax, VAT, or similar taxes applicable to services.
Warranties & Disclaimers
Dawnovation warrants that:
- Services will be performed in a professional and workmanlike manner consistent with industry standards
- We have the authority to enter into agreements and deliver the services described
- Deliverables will materially conform to the specifications agreed in the project SOW
Disclaimer: Except as expressly stated above, services and deliverables are provided “as is.” We make no warranties, express or implied, regarding merchantability, fitness for a particular purpose, or non-infringement. AI systems are probabilistic in nature — outputs may occasionally be inaccurate, and we do not warrant that any AI system will be error-free or operate without interruption.
Client acknowledges that AI technology is rapidly evolving and that maintaining human oversight of AI-driven decisions is the client’s responsibility.
Limitation of Liability
To the maximum extent permitted by applicable law:
- Dawnovation’s total cumulative liability to the client for any claims arising from or related to services shall not exceed the total fees paid by the client in the three (3) months preceding the claim
- Neither party shall be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages
These limitations apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise. Some jurisdictions do not allow limitation of liability for certain damages, so the above may not apply to you in full.
Indemnification
You agree to indemnify, defend, and hold harmless Dawnovation AI, its officers, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of our services in violation of these Terms
- Your deployment of AI systems in a manner that causes harm to third parties
- Your infringement of any third-party intellectual property or privacy rights
- Data you provided to us that you did not have the legal right to share
- Any violation of applicable laws or regulations in connection with your use of our services
Termination
Either party may terminate a service engagement by providing written notice as specified in the applicable project agreement. General provisions:
- Client-Initiated Termination: You may terminate an engagement with 30 days’ written notice. Fees for work completed up to the termination date are due and payable.
- Dawnovation-Initiated Termination: We may terminate for cause (e.g., non-payment, breach of Terms) with 14 days’ written notice and opportunity to cure, or immediately for material breach
- Effect of Termination: Dawnovation will deliver all completed work product; provisions regarding IP, confidentiality, payment, and limitation of liability survive termination
Termination of website access: We may restrict or terminate your access to our website at our discretion, without notice, if we believe you are in violation of these Terms.
Governing Law & Disputes
These Terms and any disputes arising under them shall be governed by and construed in accordance with applicable law. The parties agree to first attempt to resolve any dispute through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration before resorting to litigation, except that either party may seek injunctive relief in court for intellectual property or confidentiality violations.
These Terms do not limit any statutory rights you may have under mandatory consumer protection laws in your jurisdiction.
